Terms of Service - EnginifyAI

1. Acceptance of Terms

By accessing or using EnginifyAI (“the Platform,” “Service,” “we,” “us,” or “our”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use our Service.

EnginifyAI is a prompt-asset platform that lets users author, compose, organize, version, and run AI prompts and related assets across multiple AI providers, and contribute to a community Global Prompt Library.

2. Service Description

Platform Overview

EnginifyAI is a professional prompt-asset platform, a system of record for AI prompts, that enables users to:

Author reusable prompt assets, including prompt cards composed from structured sections
Generate prompt content and run it against multiple AI providers
Organize prompt assets into libraries with version history
Use pre-built templates, analyzers, and related tools to create and improve assets
Contribute to and browse the EnginifyAI Global Prompt Libraries
Track usage and optimize AI interactions
Integrate with third-party AI services

The specific features available may change over time as described in Section 11.

Key Definitions

“Assets” means the content you create, configure, or compose using the Service, including prompts, prompt cards, templates, analyzers, workflows, libraries, saved versions, and generated outputs.
“Prompt Card” means a structured, reusable Asset you build by composing sections, which may include EnginifyAI-provided catalog sections and your own custom sections, and which the Service uses to generate prompt text and, optionally, to run that prompt against an AI model.
“Building Blocks” means the EnginifyAI-provided sections, section catalog (including the logic within each provided section), and pre-built templates made available for you to compose Assets.

Service Components

Prompt Cards: Structured, reusable prompt Assets composed from EnginifyAI-provided sections and your own custom sections
Prompt Tools & Templates: Tools and pre-built templates for creating and improving Assets
Content Generation: AI-powered generation of prompt text and outputs across multiple formats and providers
Library Management: Organization and storage of Assets and their versions
Global Prompt Libraries: Community-contributed Assets curated and managed by EnginifyAI
Usage Analytics: Tracking and optimization of AI interactions
API Access: Integration capabilities for advanced users

3. Subscription Plans and Billing

Billing Terms

Payment: Subscription fees are billed monthly or annually in advance
Auto-Renewal: Subscriptions automatically renew unless cancelled
Credits: Monthly credit allocations reset on your billing cycle date
Price Changes: We reserve the right to modify pricing with 30 days notice

Credit System

Credit Allocation: Each plan includes monthly credits for AI operations
Credit Usage: Credits are consumed for prompt generation, content creation, and AI model access
Credit Tracking: Real-time usage tracking available in your dashboard
Credit Expiration: Unused credits expire at the end of each billing cycle

4. Global Prompt Libraries & Published Content

This section governs your rights and obligations when you publish content to the EnginifyAI Global Libraries, which is visible to all platform users.

Publishing to the Global Libraries

Users may voluntarily publish Assets, including prompts and prompt cards (each, once published, “Published Content”) – to the EnginifyAI Global Prompt Libraries (“Global Library”). Publishing is entirely optional. You will be presented with a clear consent prompt before any content is published globally, and publishing requires your explicit agreement to the license terms in this section.

License Grant Upon Publishing

When you publish an Asset to the Global Library, you grant EnginifyAI and all users of the platform a perpetual, irrevocable, worldwide, royalty-free license to view, use, copy, adapt, and build upon that Published Content. Where the Asset is a prompt card, this license covers your composition, configuration, and any custom sections you authored, but does not transfer ownership of EnginifyAI’s underlying Building Blocks. This license survives account deletion, cancellation, or termination.

By publishing, you represent and warrant that:

You own or have the necessary rights to the content you publish
Your published content does not infringe any third-party intellectual property rights
Your published content complies with all applicable laws and our Acceptable Use Policy

Content Moderation

EnginifyAI reserves the right to review, moderate, curate, edit, unpublish, or remove any content published to the Global Library at our sole discretion. This moderation right exists regardless of the originating user’s account status.

Our “No Monitoring” statement in Section 5 applies to private prompts and content only. Content published to the Global Library is subject to moderation.

Effect of Account Deletion on Published Content

IMPORTANT: Content you have published to the Global Library is governed by the irrevocable license granted at the time of publishing. Upon account deletion, ownership of your published Global Library content transfers automatically to EnginifyAI. We may retain, edit, curate, or remove that content at our discretion. This is an explicit exception to the general account deletion promise described in Section 9.

Before deleting your account, we strongly recommend reviewing your published content. If you wish to request removal of specific published prompts prior to deletion, please contact support@enginifyai.com.

Effect of Unpublishing

If you choose to unpublish a prompt before deleting your account, it will no longer appear in the Global Library for new users. However, copies or adaptations already made by other users are not retroactively removed.

5. Acceptable Use Policy

Permitted Uses

You may use EnginifyAI for:

Professional content creation and marketing
Business process automation and optimization
Educational and research purposes
Personal use and creative projects
Software development and technical documentation
Prompt storage and private library management
Contributing to the Global Prompt Library (subject to Section 4)

Prohibited Uses

You may not use EnginifyAI for:

Platform Abuse: Attempting to circumvent usage limits or security measures
Competitive Analysis: Reverse engineering or creating competing services
Unauthorized Access: Attempting to access other users’ data or system components
Publishing Infringing Content: Publishing content to the Global Library that infringes third-party intellectual property rights

6. Content Standards and User Responsibility

User Responsibility

You are solely responsible for ensuring that all prompts you create and content you generate through EnginifyAI comply with:

Applicable laws and regulations
Third-party AI provider terms of service
Professional and ethical standards
Intellectual property rights of others

No Monitoring of Private Content

We do not monitor, review, or pre-screen private user prompts or privately stored content. You use the platform at your own discretion and responsibility for private content.

Moderation of Global Library Content

Content published to the Global Library is subject to moderation as described in Section 4. EnginifyAI may review, curate, or remove published content at our discretion.

Your Acknowledgment

By using EnginifyAI, you acknowledge that:

You are responsible for your use of AI models and generated content
We are a platform provider, not a content moderator for private content
Global Library content is subject to moderation
Third-party AI providers may have their own monitoring and enforcement policies

7. Intellectual Property Rights

User Content – Private (Assets)

Ownership: You retain ownership of the private Assets you create, including your prompts, prompt cards, prompt data, the configuration and section content you author, and any custom sections you create
Composed Assets & Building Blocks: Some Assets, such as prompt cards, are composed using EnginifyAI-provided Building Blocks (including catalog sections and pre-built templates). You own your specific composition, your own custom sections, and the outputs you generate. The Building Blocks themselves, including the section catalog, the logic within each provided section, and pre-built templates, remain EnginifyAI’s property and are licensed to you for use within the platform only (see Platform Content below)
License to Us: You grant us a limited license to process your Assets to provide the Service
Responsibility: You are responsible for ensuring you have rights to any content you input
Generated Content: You own the output generated from your Assets, subject to third-party AI provider terms

User Content – Published to Global Library

License Grant: As described in Section 4, publishing an Asset (including a prompt or prompt card) grants an irrevocable license to EnginifyAI and all users
Ownership Transfer on Deletion: Ownership of published Assets transfers to EnginifyAI upon account deletion
Retained Attribution: EnginifyAI may, at its discretion, display original authorship attribution on published Assets

Platform Content

Our IP: EnginifyAI’s software, interfaces, and proprietary features remain our property
Building Blocks: The section catalog, EnginifyAI-provided sections and their underlying logic, and pre-built templates are EnginifyAI property, licensed to you for use within the platform to compose Assets; they may not be extracted, resold, or used to build a competing service
Templates: Pre-built templates and features are licensed for your use within the platform
Trademarks: Our logos, trademarks, and branding materials are protected
Feedback: Any feedback you provide may be used to improve our services

Third-Party Content

AI Providers: Generated content is subject to third-party AI provider terms
Integrations: Third-party integrations are governed by their respective terms

8. Data Processing and AI Services

Third-Party AI Providers

Processing: Your prompts are processed by third-party AI providers (Anthropic, Google, OpenAI, xAI)
Data Protection: All providers are bound by strict data protection agreements
No Training Use: Your private data is not used to train third-party AI models
Provider Terms: Usage subject to individual AI provider terms of service

Data Security

Encryption: All data encrypted in transit and at rest
Access Controls: Strict authentication and authorization protocols
Monitoring: Continuous security monitoring and threat detection
Compliance: Our platform is built on SOC 2 Type 2 and ISO 27001 certified infrastructure, and is operated to support your rights under GDPR, UK GDPR, and CCPA. A Data Processing Agreement is available to business customers at enginifyai.com/dpa.

9. Data Retention and Account Deletion

General Retention

Active Accounts: Data retained while your account is active
Legal Requirements: Minimal audit logs may be retained to comply with legal obligations (these contain no personal content)

Account Deletion

When you delete your account, all private personal data is permanently deleted from EnginifyAI’s own systems within seconds of confirmation. This deletion is immediate on our systems, comprehensive, and irreversible. Prompts you previously transmitted to third-party AI providers may persist in those providers’ short-term abuse-monitoring logs for up to 30 days, after which they are deleted by the provider; this retention is outside our control. We recommend exporting any important data before deleting your account.

Exception: Global Library Published Content

EXCEPTION: Content you have published to the Global Library is NOT deleted upon account deletion. As described in Section 4, such content is governed by the irrevocable license granted at time of publish, and ownership transfers to EnginifyAI. This is the only exception to the comprehensive deletion described above.

Minimal audit logs required for legal compliance (no personal content)
Third-party AI provider logs: prompts already transmitted to an AI provider may persist in that provider’s short-term logs for up to 30 days (outside our control), after which the provider deletes them

10. User Accounts and Security

Accurate Information: You must provide accurate and complete registration information
Account Security: You are responsible for maintaining account security
Authorized Use: Only you may use your account; sharing is prohibited
Age Requirements: Users must be at least 18 years old or have parental consent

Account Termination – By You

You may terminate your account at any time through account settings.

Account Termination – By Us

We may terminate accounts for Terms violations, or other reasons with or without notice.

Effect of Termination

Your access to the Platform will be immediately suspended
All private account data will be permanently deleted as described in Section 9
Global Library published content transfers to EnginifyAI per Section 4
Active subscriptions will be cancelled (no refund for unused credits unless required by law)

11. Platform Availability and Performance

Service Level

Uptime: We strive for 99.9% uptime but do not guarantee uninterrupted service
Maintenance: Scheduled maintenance with advance notice when possible
Performance: Best efforts to maintain optimal performance and response times

Service Limitations

Third-Party Dependencies: Service may be affected by third-party provider availability
Rate Limits: API and usage rate limits apply based on subscription tier
Geographic Restrictions: Service availability may vary by location
Feature Changes: We may modify or discontinue features with reasonable notice

Technical Requirements

Browser Compatibility: Modern web browsers required for optimal experience
Internet Connection: Stable internet connection required for all features
JavaScript: JavaScript must be enabled for platform functionality
Cookies: Cookies required for authentication and personalization

12. Privacy and Data Protection

Our Privacy Policy governs data collection and use. By using EnginifyAI, you agree to our Privacy Policy, which is incorporated into these Terms by reference.

Data Processing

Lawful Basis: We process data based on contract performance, legitimate interests, and consent
User Rights: You have rights to access, correct, delete, and port your data
International Transfers: Data may be processed in countries outside your residence
Security Measures: Appropriate technical and organizational safeguards implemented
Immediate Deletion: Upon account deletion, all private personal data is removed (see Section 9 for Global Library exception)

Cookies and Tracking

Essential Cookies: Required for platform functionality
Analytics Cookies: Used to improve service performance and user experience
User Control: Cookie preferences can be managed through browser settings

13. Limitation of Liability

Service Disclaimer

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

The Service will be uninterrupted, secure, or error-free
Results obtained from the Service will be accurate or reliable
Quality of content generated will meet your expectations
Third-party AI providers will be continuously available

Liability Limits

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Total Liability: Our total liability is limited to amounts paid by you in the 12 months preceding the claim
Excluded Damages: We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption
Third-Party Services: We are not liable for third-party AI provider performance, outputs, availability, or any costs associated with their services
User Content: We are not liable for user-generated content, its accuracy, or its consequences
Global Library Content: We are not liable for content published to the Global Library by users, including after ownership transfer to EnginifyAI, except to the extent caused by our gross negligence or willful misconduct

Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless EnginifyAI, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising from or related to:

Your use of the Platform
Your content, prompts, or generated outputs
Your violation of these Terms
Your violation of any third-party rights, including intellectual property rights
Your violation of applicable laws or regulations
Content you publish to the Global Library, including any intellectual property infringement claims
Unauthorized access to your account due to your failure to maintain account security

15. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California, United States of America, without regard to conflict of law principles.

Dispute Process

Step 1: Informal Resolution

Step 2: Mediation

If informal resolution fails, disputes may be submitted to non-binding mediation before proceeding to arbitration or litigation.

Step 3: Arbitration

For disputes that cannot be resolved informally or through mediation, binding arbitration may be required for certain disputes as permitted by law.

Class Action Waiver

YOU AND ENGINIFYAI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Jurisdiction

Any legal proceedings not subject to arbitration must be brought exclusively in the state or federal courts located in California, United States of America. You consent to personal jurisdiction in these courts.

16. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to when using specific features (including the Global Library publishing consent), constitute the entire agreement between you and EnginifyAI regarding the Service.

Modifications

Term Updates: We may modify these Terms from time to time
Notification: Material changes will be posted on our website and emailed to registered users at least 30 days before taking effect
Continued Use: Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms
Right to Discontinue: If you do not agree to modified Terms, you must discontinue use of the Service

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Assignment

By Us: We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets
By You: You may not assign your rights or obligations without our prior written consent

No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

Survival

The following provisions survive termination: Intellectual Property Rights (Section 7), Global Library License (Section 4), Data Retention Exception (Section 9), Limitation of Liability (Section 13), Indemnification (Section 14), Dispute Resolution (Section 15), and General Provisions (Section 16).

Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Relationship

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and EnginifyAI. You are an independent user of the Service.
